Community utility token
A closed-loop points token for rewards, event access and community status. Simple, non-financial, and legally straightforward. This one can come earlier.
Path to Capital
Fractional ownership and tokenisation are the destination, not a launch gimmick. Here's the honest, staged, licensed route — and why we won't shortcut it.
You cannot tokenise a portfolio you don't own. That single sentence dictates the entire plan. Before any token can represent anything real, there has to be an actual equity base — accumulated through the accelerator and success-fee deals, held in a properly constituted vehicle.
A token backed by startup equity is a security, not a currency. In regulatory terms it's a security token or tokenised fund unit. That's good news: it means there's a legitimate licensed route, rather than the legally dangerous alternative of issuing a free-floating coin and claiming it's backed by something.
So we build in order: equity first, structure second, licence third, token last.
Build a real portfolio of startup stakes through services-for-equity accelerator deals and success-fee arrangements, held in the investment vehicle.
Investors co-invest deal-by-deal through special purpose vehicles — one SPV per company. This is genuine fractional ownership, using recognised ADGM and DIFC regimes, with no blind pool.
Open curated deals more widely — initially by partnering with an already-licensed UAE platform and acting as the curation layer, rather than licensing our own from scratch.
Wrap the equity portfolio in a regulated fund, then issue tokens representing units in that vehicle under the appropriate virtual-asset framework — with disclosure, KYC/AML and real enforceable rights for holders.
Blurring these is exactly what gets projects into trouble.

02
A regulated security over the fund, with value linked to the real NAV of the portfolio. Licensed, gated to eligible investors, and structured with counsel. This one comes last.

| Entity | Purpose | Home |
|---|---|---|
| Platform OpCo | Incubator, events, awards, consultancy, membership | RAKEZ or a Dubai free zone |
| Services entities | Setup, compliance, banking support, insurance | Existing EasySetup / Rotana structures |
| Investment vehicle | Holds accelerator equity, runs SPV deals | ADGM or DIFC |
| Token issuer | Issues any security or asset-backed token | VARA or financial free-zone regime |
Separating the operating business from the regulated investment arm protects the cash business and keeps regulatory scrutiny where it belongs. Specific licence categories are confirmed with UAE financial-services counsel.
Not through this website. Nothing on this page is an offer of securities. Investment opportunities are shared separately with members of the investor network, under the applicable UAE framework, to eligible investors only.
Not on a date we're willing to promise. It follows the equity base and the licence, in that order. Anyone giving you a firm token date before those exist is telling you something about their process.
A single-purpose company created to hold one investment. Several investors put money into the SPV, and the SPV owns shares in the startup. Each investor owns a proportion of the SPV — which is fractional ownership of that company, using structures that already exist and are already recognised.
It depends on where the activity sits — the SCA at federal level, and the DFSA, ADGM's FSRA, or VARA within the respective financial and virtual-asset regimes. These frameworks change frequently, which is why we take current advice rather than relying on last year's position.
